Your rights and responsibilities on the platform

These Terms of Service ("Terms") govern your use of the Renofy platform (the "Platform"), owned and operated by Renofy Ltd ("Renofy", "we", "us", or "our"), a company registered in England and Wales (Company No. 16288740). By creating an account, using the Platform, or interacting with other users through Renofy, you agree to these Terms.

These Terms apply to all users, including property owners ("Customers") and tradespeople ("Tradespeople").

1. About Renofy

Renofy is a digital agreement platform for the trades and home improvement market. Through the Platform, Tradespeople and Customers can create shared digital job agreements — covering scope, pricing, milestones, and invoices — with a timestamped record of everything that was agreed, changed, and delivered.

Renofy also operates a marketplace where Customers can post jobs and Tradespeople can browse opportunities and provide quotes.

While Renofy provides tools for creating and managing job agreements, it's important to understand that:

  • Renofy does not provide building, professional, or trades services itself.
  • Renofy does not join or become a party to any agreement formed between a Customer and a Tradesperson — those contracts are made directly between the two users.
  • Renofy does not review, validate, or guarantee the accuracy or completeness of information provided by users, although we encourage honesty and transparency.
  • Renofy does not supervise or control how work is carried out; that remains the responsibility of the Customer and the Tradesperson.

1.1 Identity Checks and Tradesperson Information

We collect identity, insurance, and qualification information to support a safer marketplace. While we do this to help you, we depend on Tradespeople providing accurate information and cannot be responsible if they don't.

Renofy may require Tradespeople to complete an identity check to access certain Platform features. Where a Tradesperson has completed this check, they may be described as "ID Checked" on the Platform. This confirms only that an identity check has been completed — it does not confirm or guarantee the Tradesperson's conduct, trustworthiness, skill, qualifications, insurance, background, or suitability for any job.

Insurance, qualifications, and other information displayed on a Tradesperson's profile is provided by the Tradesperson. Renofy displays this information but does not independently verify its accuracy or validity. Insurance and qualification status is displayed separately for each skill.

Customers remain responsible for deciding whether to engage a Tradesperson and for carrying out any additional checks they consider appropriate before work begins.

2. Eligibility

You must:

  • be at least 18 years old.
  • provide accurate registration information.
  • comply with all applicable laws.
  • only register for a Renofy account if legally able to enter into binding agreements.

By creating an account and using the Platform, you consent to conducting transactions electronically and confirm that you have the ability to access and retain electronic records.

Tradespeople represent and warrant that they:

  • are qualified and insured to perform any work they offer.
  • will not accept work outside their competence or insurance coverage.
  • are responsible for maintaining all required licences, qualifications, and valid insurance.
  • will ensure that all information on their profile — including insurance and qualification details — is accurate, current, and not misleading.

3. Account Registration & Identity Checks

Renofy may require Tradespeople to complete an identity check to access certain Platform features (such as quoting on marketplace jobs), as part of our due diligence to support property owner confidence and reduce impersonation. Renofy determines which features require identity verification and may change these requirements at any time.

Identity checks may be performed using a trusted third-party provider (currently OneID Limited) and may require you to provide information directly to that provider. Renofy may receive confirmation and/or limited results of the check (for example, that a check has been completed).

Identity checks are an additional layer of due diligence only. They do not guarantee a Tradesperson's conduct, trustworthiness, skill, qualifications, insurance, background, or suitability for any job.

If an identity check cannot be completed, fails, or is flagged, Renofy may limit, suspend, or refuse account access in accordance with these Terms.

4. Platform Usage & Conduct

Users agree to:

  • communicate respectfully.
  • use the Platform lawfully.
  • provide accurate information about jobs, quotes, qualifications, and availability.
  • not upload illegal, harmful, defamatory, or infringing content.
  • not attempt to mislead or defraud other users.

Users may exchange contact details and communicate outside the Platform if they wish. However, Renofy strongly recommends keeping job-related communication on the Platform for transparency, record-keeping, and dispute prevention.

Renofy acts solely as a facilitator and is not responsible for agreements, decisions, or disputes between Customers and Tradespeople, whether communication occurs on or off the Platform.

5. Marketplace: Job Posting and Quotes

5.1 Job Posting

Customers may post jobs publicly through the marketplace. Posted jobs are publicly accessible and may be indexed by search engines to help Tradespeople discover opportunities. Tradespeople can view these posts and contact Customers through the Platform.

5.2 Quotes

Quotes submitted by Tradespeople must be as accurate and reflective of the planned work as reasonably possible. Under the Consumer Rights Act 2015, information provided by a Tradesperson to a Customer — including the quoted price and scope of work — may become a binding term of the contract between them.

5.3 Acceptance of Quotes

When a Customer accepts a quote, a digital job agreement is created on the Platform. See Section 6 (Digital Job Agreements) for the terms governing these agreements.

5.4 Payment

All payments between Customers and Tradespeople are currently handled off-platform and directly between the parties. Renofy cannot provide payment protection, assist with refunds or failed transactions, or resolve payment-related disputes.

6. Digital Job Agreements

6.1 What a Digital Job Agreement Is

A digital job agreement ("Agreement") is a shared digital record created on the Platform by either a Tradesperson or a Customer. It sets out the agreed scope, pricing, milestones, and terms of a job. Each Agreement is uniquely identifiable within the Platform and is accessible to both parties through their authenticated accounts.

An Agreement may be created directly between two users, or may be generated when a Customer accepts a quote through the marketplace.

6.2 Formation and Acceptance

When one party creates or proposes an Agreement and the other party accepts it through the Platform's acceptance mechanism (such as tapping "Accept"), both parties intend that Agreement to constitute a legally binding contract between them. Renofy is not a party to this contract.

The acceptance action constitutes an electronic signature within the meaning of the Electronic Communications Act 2000 and the UK eIDAS Regulation. By accepting an Agreement on the Platform, you confirm your intention to authenticate and be bound by its terms.

Unless otherwise agreed between the parties, Agreements formed through the Platform are intended to be governed by the laws of England and Wales.

6.3 Variations and Amendments

Either party may propose changes to the scope, pricing, or milestones of an active Agreement. Any proposed variation must be accepted by the other party through the Platform before it takes effect. Unilateral changes are not possible. Each variation is recorded with the proposing party's identity and a timestamp.

6.4 Audit Trail and Records

Renofy maintains a timestamped, attributed record of all Agreement events, including creation, acceptance, variation proposals, variation acceptances, milestone completions, and any other material actions. This audit trail is designed to provide both parties with credible evidence of what was agreed and what was done.

Once an action is recorded, it cannot be edited or deleted by either party. The Platform maintains a single canonical version of each Agreement — there are no competing copies.

6.5 Content Responsibility and Proper Use

The evidential value of a digital job agreement depends on the quality, completeness, and accuracy of the information entered by both parties. Renofy provides the infrastructure for recording agreements but does not review, validate, or supplement the content.

Users are strongly encouraged to include clear descriptions of scope, pricing, timelines, and any specific terms relevant to their arrangement. Renofy cannot be held responsible for disputes arising from vague, incomplete, or inaccurate Agreement content.

While Renofy is designed to produce records that meet recognised standards for digital evidence, Renofy does not guarantee the outcome of any legal proceedings or the enforceability of any specific Agreement. The enforceability of an Agreement depends on its content and the circumstances in which it was formed, which are the responsibility of the parties.

6.6 Consumer Cancellation Rights

Where a job agreement is formed at a distance (for example, where the Customer accepts through the Platform without the Tradesperson being physically present), the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may give the Customer a right to cancel within 14 days. This right applies to the agreement between the Customer and the Tradesperson, not to Renofy's Terms. Both parties should be aware of these rights. Renofy does not provide legal advice on whether cancellation rights apply in any specific situation.

7. Content, Photos & Public Job Pages

Users retain ownership of all content they upload.

By using the Platform, you grant Renofy a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, display, or publish uploaded content for:

  • operating and maintaining the Platform
  • maintaining Agreement records and audit trails
  • dispute prevention or resolution
  • public job listings, public job pages, and work history pages — which may be indexed by search engines
  • marketing and promotional purposes

Posted jobs and completed work pages are publicly accessible by design. This supports transparency, helps Tradespeople find work, and helps Customers make informed decisions.

This licence continues for as long as the content is hosted on the Platform and for a reasonable period thereafter to fulfil the purposes above. If Renofy is acquired or merges with another entity, this licence transfers as part of the Platform.

You confirm you have the rights to upload all content and that it does not violate third-party rights or contain illegal material.

8. Work History

Renofy may display a record of completed jobs associated with your account, including job descriptions, photos, and completion status. We do this to build a more transparent and honest platform — helping Customers make informed decisions about who they work with, and helping Tradespeople build a credible track record.

By using the Platform, you agree that:

  • Work history is derived from activity on the Platform and is designed to help all users make better-informed decisions.
  • Work history reflects Platform activity only and does not constitute an endorsement, recommendation, or quality assessment by Renofy.
  • Renofy acts as an independent platform and does not take sides in any disputes or assessments.

Users can raise concerns about the accuracy of their work history. While Renofy is not obligated to amend any record, we may investigate reports of content that is clearly inaccurate or violates Platform rules.

9. Safety, Fraud & Misuse

Renofy may suspend or remove accounts that:

  • Provide false or misleading information, including about qualifications or insurance.
  • Repeatedly cancel jobs without good reason.
  • Upload inappropriate or illegal content.
  • Attempt to impersonate others.
  • Misuse identity checks or other verification tools.
  • Harass or abuse other users.

Renofy also reserves the right to take appropriate action in cases of suspected fraud, including cooperating with the relevant authorities where necessary.

10. Platform Availability

While we aim to provide a reliable and secure experience, Renofy cannot guarantee:

  • Uninterrupted access to the Platform
  • Error-free, completely secure, or virus-free operation
  • That every feature will always be available

We may occasionally update, suspend, or discontinue parts of the Platform to improve the service or introduce new features, and we will aim to keep users informed of significant changes.

Renofy will not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemic, government action, power failure, internet disruption, or third-party service outages.

11. Limitation of Liability

Renofy provides digital tools for recording and tracking job agreements, but does not act as a project manager, contractor, or supervisor. The responsibility for managing the actual work remains with the Customer and Tradesperson.

To the extent permitted by law, Renofy cannot be held responsible for:

  • The quality, safety, legality, or completion of any work
  • Delays, cancellations, or failures by any user
  • Issues arising from off-platform communication or payments
  • Losses related to reliance on information or content provided by users
  • Decisions made independently by Customers or Tradespeople
  • Property damage, personal injury, or losses caused by any Tradesperson
  • Disputes arising from vague, incomplete, or inaccurate Agreement content entered by users

Where identity checks or other due diligence steps are used, Renofy does not guarantee their accuracy or completeness and they should not be relied on as proof of safety, suitability, or behaviour.

We're also not responsible for indirect losses like lost income or missed opportunities that might result from using the Platform.

Nothing in these Terms excludes or limits Renofy's liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.

Renofy does not provide:

  • Legal advice
  • Trades, building, or design services
  • Compliance guidance

12. Indemnity

Tradespeople agree to indemnify and hold harmless Renofy from any claims, losses, or reasonable costs arising directly from:

  • Inaccurate, misleading, or fraudulent information provided about their identity, qualifications, insurance, or experience
  • Breach of these Terms
  • Inaccurate, misleading, or illegal content uploaded to the Platform
  • Misuse of identity checks or attempts to impersonate others

This indemnity does not apply to losses caused by Renofy's own negligence or breach of these Terms.

All users acknowledge that Renofy is not a party to any agreement formed between a Customer and a Tradesperson, and that Renofy is not responsible for disputes, losses, or damages arising from those agreements. Users who upload inaccurate, misleading, or illegal content to the Platform may have their accounts suspended or removed in accordance with Section 9.

13. Disputes Between Users

Renofy does not act as mediator or arbitrator in disputes between Customers and Tradespeople. If a dispute arises, we encourage both parties to:

  • Attempt to resolve it directly, using the Agreement records available on the Platform as a shared reference point.
  • Consider alternative dispute resolution (ADR) services if direct resolution is not possible.
  • Seek independent legal advice where appropriate.

Agreement records, including the audit trail, are available to both parties and can be used as evidence in any dispute resolution process or legal proceedings.

14. Termination & Data Retention

14.1 Suspension and Termination by Renofy

Renofy may suspend or restrict your access to the Platform immediately if we reasonably believe you have breached these Terms, engaged in fraud, or misused the Platform.

In other circumstances, Renofy will provide reasonable notice (not less than 30 days) before terminating your account.

14.2 Account Deletion by You

You may delete your account at any time by contacting [email protected].

14.3 Data Retention

After an account is deleted or terminated, Renofy will:

  • Retain digital Agreement records, including audit trails, for a minimum of 6 years after the completion or termination of the relevant Agreement, in line with the Limitation Act 1980 — regardless of whether your account remains active.
  • Retain content used in public work history pages, but only where the law allows.
  • Delete other personal data in accordance with our Privacy Policy and applicable data protection law.

15. Privacy

Use of the Platform is also governed by our Privacy Policy. By using Renofy, you consent to our collection and processing of data as described in that policy.

Agreement data is processed in accordance with the Privacy Policy and the UK General Data Protection Regulation (UK GDPR). Both parties to an Agreement have access to each other's relevant data as necessary for the performance of their contract.

16. SMS Notifications

If you provide a mobile phone number, Renofy may send you transactional SMS notifications related to your activity on the Platform. These messages are service notifications only. Renofy does not send marketing or promotional messages by SMS.

Messages you may receive include:

  • Job updates (e.g. a job has started, been completed, or cancelled)
  • Quote notifications (e.g. a new quote has been received or accepted)
  • Milestone updates (e.g. a milestone has been submitted for review)
  • New message alerts

You can manage or disable SMS notifications at any time from your notification preferences page.

17. Changes to These Terms

Renofy may update these Terms from time to time. Where changes are material, we will notify you and may require you to review and re-accept the updated Terms before continuing to use the Platform.

Renofy maintains archived versions of previous Terms for reference and to support evidential integrity.

18. General

Governing law: These Terms are governed by the laws of England & Wales. Courts of England & Wales have exclusive jurisdiction over disputes arising from these Terms.

Entire agreement: These Terms, together with our Privacy Policy and any specific Agreement formed through the Platform, constitute the entire agreement between you and Renofy relating to your use of the Platform.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver: If Renofy does not exercise or enforce any right or provision of these Terms, this does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your account or any rights under these Terms without Renofy's prior written consent. Renofy may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, provided your rights under these Terms are not diminished.
